We strive to provide accurate and up-to-date information and descriptions of our products and services. However, we shall not be held liable for inaccuracies or errors in product descriptions, claims, images, or other content as made by vendors on our platform.

All prices are subject to change without prior notice. By accepting an order through our Services, you agree to provide current, complete, and accurate purchase, delivery, and account information. We reserve the right to refuse or cancel any order for various reasons, including but not limited to unavailability of products, inaccuracies in product descriptions or pricing information, or problems identified by our Credit and Fraud Detection Unit.

All vendors must comply with applicable laws and regulations, including but not limited to consumer protection, e-commerce, and data privacy laws.

Vendors are responsible for ensuring the quality, safety, and legality of the goods and services they list. Ngbuka reserves the right to remove any listings that do not meet these standards. Vendors must provide accurate and complete information about their goods and services, including pricing, descriptions, and availability. False or misleading information is strictly prohibited.

Vendors must protect the personal data of users in accordance with applicable data protection laws. Unauthorized use or sharing of user data is prohibited.

Vendors must use secure payment methods to ensure the safety and security of transactions. Ngbuka is not liable for any losses or damages resulting from insecure transactions.

4. Payments

We accept various payment methods for purchases made through our Services. You agree to pay all charges incurred by you or any users of your account and credit card (or other applicable payment system) at the prices in effect when such charges are incurred.

You agree to provide current, complete, and accurate purchase, delivery, and billing information for every transaction made through our channels.

5. Revenue Sharing Formula

The revenue generated from transactions conducted through Ngbuka will be shared between Ngbuka and the vendors in a fair and reasonable manner as follows:

• Revenue Distribution

  Ngbuka will deduct a service fee from the total transaction amount. This service fee covers the operational costs, platform maintenance, and support services provided by Ngbuka. The remaining of the total transaction amount will be disbursed to the vendor. This amount represents the net earnings of the vendor from each completed transaction.

• Service Fee Percentage:

  The service fee percentage will be determined based on industry standards and will be reviewed periodically to ensure it remains fair and reasonable. Any changes to the service fee percentage will be communicated to the vendors in advance, and will require mutual agreement before implementation

• Timely Disbursement:

  Ngbuka will ensure that the vendor's share of the revenue is disbursed in a timely manner, in accordance with the agreed payment schedule. Vendors will receive detailed transaction reports outlining the total revenue, service fee deduction, and net earnings. Though, changes in price can be made by Ngbuka without prior notice, notification will be duly made, if such changes will affect vendors earnings.

• Transparency and Accountability:

  Ngbuka commits to maintaining transparency in all financial transactions and revenue-sharing calculations. Regular audits will be conducted to ensure the accuracy and fairness of the revenue-sharing process. By agreeing to these terms, vendors acknowledge and accept the revenue-sharing formula and commit to adhering to the policies outlined above.

7. Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are under the exclusive ownership of Ngbuka, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Subject to these terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal and non-commercial use.

You agree to indemnify Ngbuka and its affiliates, officers, agents, employees, and partners from any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:

These Terms are governed by and construed in accordance with the laws in force in Nigeria.

10. Dispute Resolution

Any dispute arising from, under, or in connection with these Terms shall be first subject to online dispute resolution platforms, mediation, customer support teams, and in failure of which, legal action under the relevant and extant laws as applicable within the jurisdiction of the Federal Republic of Nigeria may be resorted to.
